1. Introduction

Welcome to SMEC Technologies ("Company," "we," "our," or "us"). These Terms and Conditions govern your use of our website and the industrial control and automation engineering services — including design, manufacturing, programming, installation, commissioning and support of control panels and automation systems — offered by SMEC Technologies, based in Kerala, India and serving clients across India, the UAE and the GCC.

By accessing or using our website or services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.

2. Definitions

• "Services" refers to all engineering, manufacturing, system integration, software/PLC programming, panel fabrication, installation, commissioning, retrofit, modernization and related technical support offerings provided by SMEC Technologies.
• "User," "You," "Client," or "Customer" refers to any individual or organization that accesses our website, submits an enquiry or request for quotation (RFQ), or engages our services.
• "Content" refers to all materials provided by us or submitted to us, including but not limited to text, images, technical drawings, specifications, RFQ/tender documents, quotations, designs and software.

3. Eligibility and Use of Services

To engage our services or submit a request through our website, you must:

• Be authorized to act on behalf of the business or organization you represent.
• Provide accurate, current and complete information in any enquiry, RFQ or order.
• Have the legal capacity to enter into a binding commercial agreement.

4. Quotations, Orders and Fees

• Quotations are based on the scope, drawings and specifications provided at the time of enquiry and are valid for the period stated on the quotation.
• Prices may be revised where the project scope, specifications, quantities, material costs or delivery requirements change after the quotation is issued.
• Orders are confirmed only upon written acceptance by both parties and receipt of any agreed advance or milestone payment.
• Payments shall be made in full or as per the agreed milestone/installment schedule set out in the order or contract. Delivery and commissioning timelines are subject to timely payment and timely provision of client inputs (drawings, approvals, site access).

5. Order Changes and Cancellation

• Change requests after order confirmation must be submitted in writing and may affect pricing, scope and delivery schedule.
• Because panels and systems are engineered and manufactured to order, cancellation after work has commenced may incur charges for engineering, materials procured and work completed up to the date of cancellation.
• SMEC Technologies reserves the right to decline or reschedule work where required inputs, approvals or payments are not provided on time.

6. Intellectual Property Rights

All content, engineering designs, drawings, software, logos, trademarks and intellectual property developed by or displayed on our website remain the exclusive property of SMEC Technologies unless otherwise agreed in writing.

• You may not reproduce, distribute, modify or create derivative works from any of our designs or content without prior written consent.
• Drawings, BOMs and engineering documents shared during a project are provided for the purpose of that project only and may not be shared with third parties without authorization.
• Any unauthorized use of our intellectual property may result in legal action.

7. Confidentiality of Client Documents

RFQs, tender packages, drawings and technical documents you submit to us are treated as confidential and are used solely to prepare quotations, carry out engineering and deliver the contracted services. We do not disclose your project documents to unrelated third parties without your consent, except where required by law.

8. Warranty and Support

• Equipment and workmanship are covered by the warranty terms stated in the applicable quotation or contract.
• Warranty does not cover damage resulting from misuse, unauthorized modification, improper installation by others, or operation outside specified conditions.
• Third-party OEM components are covered by the respective manufacturer's warranty terms.

9. Limitation of Liability

• SMEC Technologies shall not be liable for any indirect, incidental, special or consequential damages arising from the use of our website or services.
• Our total liability for any claim shall not exceed the value of the specific order or service to which the claim relates.
• We are not liable for delays or non-performance caused by events beyond our reasonable control, including force majeure, supply-chain disruption or delays in client inputs.

10. Website Usage

• You agree not to use our website for any unlawful purpose or in any way that could damage, disable or impair the website.
• You must not attempt to gain unauthorized access to any part of the website, server or database connected to our website.
• We reserve the right to restrict or terminate your access to the website at our sole discretion.
